Welcome to Mpaddi.com — these Terms & Conditions (“Terms”) govern your use of this website (the “Site”), operated by Mpaddi (“we”, “us”, “our”). By accessing or using the Site, you agree to comply with and be bound by these Terms. If you do not agree, do not use or access the Site.

1. Eligibility

  • You must be at least 13 years old (or older if required by your country’s laws) to use the Site.
  • If you are under 18 (or the age of majority in your location), you may only use the Site with the consent of a parent or guardian.

2. Account Registration and Security

  • To access certain features (e.g. posting, commenting), you must register for an account.
  • You are responsible for maintaining the confidentiality of your account credentials (username, password).
  • You agree to notify us immediately of any unauthorized use of your account or other breach of security.

3. User Content

  • “User Content” means anything you post or submit on or through the Site (posts, comments, images, links, messages, etc.).
  • You retain ownership of your User Content, but by posting it you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, display, distribute, and modify it as needed for Site operation (e.g. display, promotion).
  • You represent and warrant that you own the rights to all content you post, and that your content does not infringe any third-party rights, violate privacy, defamation laws, copyright, trademark, or any other applicable law.

4. Prohibited Conduct

You must NOT use the Site to:

  • Post or share illegal, abusive, defamatory, obscene, pornographic, hateful, harassing or violent content.
  • Impersonate someone else or misrepresent your affiliation.
  • Violate any applicable laws or regulations.
  • Upload viruses, malware, or any harmful code.
  • Spam or flood the Site, send unsolicited advertising, or engage in disruptive behavior.
  • Collect or store personal data about other users without their consent.

5. Moderation and Removal of Content

  • We reserve the right (but do not have the obligation) to monitor, review, edit, move or remove User Content that violates these Terms, or for any other reason.
  • We may suspend or terminate accounts of users who violate the Terms.
  • If you believe content violates this policy, you may report it; we will investigate at our discretion.

6. Intellectual Property

  • All content provided by the Site (design, layout, graphics, text, software, trademarks, etc.) is our intellectual property or licensed to us. You may not copy, reproduce, republish, distribute, modify, transmit, or create derivative works without our express written consent.
  • If you post User Content, as in section 3, you warrant that you have full rights to grant the license described and that your content does not infringe third party rights.

7. Privacy

  • Use of personal information is governed by our Privacy Policy (you should have one). By using the Site, you consent to our collection and use of information as described in that policy.
  • You should not post personal identifying information of others without their consent.

8. Disclaimers & Limitation of Liability

  • The Site is provided “as is” and “as available”. We do not guarantee accuracy, completeness, or reliability of content.
  • We are not responsible for any damages, losses, or harm resulting from your use of, or inability to use, the Site (including but not limited to direct, indirect, incidental, punitive, or consequential damages).
  • We do not guarantee that the Site will be uninterrupted, error-free, or secure.

9. Indemnification

You agree to indemnify, defend, and hold us harmless and our officers, directors, employees, agents, and suppliers from and against all losses, liabilities, claims, demands, damages, costs, and expenses (including legal fees) arising from:

  • Your breach of these Terms;
  • Your User Content;
  • Your violation of any laws;
  • Your use of the Site.

10. Modifications to Terms

  • We may change or update these Terms at any time. When we do, we will post the revised version here, with the “Last Updated” date.
  • Continued use of the Site after changes means you accept the new Terms.

11. Termination

  • We may suspend or terminate your access to the Site for any reason, including violation of these Terms.
  • After termination, sections that by their nature should survive will remain in effect (for example: indemnification, limitation of liability, intellectual property, etc.).

12. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Nigeria without regard to its conflict of laws provisions.
  • Any disputes arising under or relating to these Terms shall be resolved in the courts.

13. Miscellaneous

  • If any provision of these Terms is found invalid or unenforceable, that provision will be struck out and the remaining Terms will still apply.
  • These Terms, together with our Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and us regarding use of the Site.
